Terms of Service

By accessing, browsing, registering for, or using the PGenius platform, SaaS solutions, website, and conversational APIs (collectively, the "Services"), you agree to be bound by these Terms of Service (the "Terms") and our Privacy Policy.

These Terms constitute a legally binding agreement between you ("User", "Owner", "Property Manager") and Nexformiq AI ("Company", "we", "our", "us"). If you do not agree to these Terms, you must immediately cease all access to the Services.

To utilize the management functionalities, you must create a PGenius operator account. You agree to:

• Provide accurate, complete, and current information during the signup flow.
• Maintain the confidentiality of your credentials and restrict access to authorized team members only.
• Accept full responsibility for all activities, actions, and rent collections occurring under your account.
• Notify us immediately at badrinayak@nexformiqai.in upon identifying any unauthorized breach of security or access.

Subject to your compliance with these Terms, Nexformiq AI grants you a limited, non-exclusive, non-transferable, revocable, and non-sublicensable license to access and use the PGenius platform solely for your business operations related to managing paying guest (PG) accommodations, hostels, and rental portfolios.

You shall not lease, sell, reverse engineer, extract database tables, or build derivative products mimicking the operational framework of PGenius.

PGenius operates on a subscription-based pricing model as detailed in our website's pricing section.

IMPORTANT: Legal compliance regarding PG occupancy is the sole responsibility of the Owner.

Owners using PGenius to log Tenant details and generate rental agreements agree to:

• Adhere strictly to local state laws in India concerning Paying Guest operations, commercial licenses, and municipality guidelines.
• Conduct mandatory Tenant Police Verification and KYC checks as required by local law enforcement agencies before onboarding.
• Maintain copy documentation of Tenant lease agreements and valid identification credentials.

PGenius acts strictly as an operational record-keeper and database platform. Nexformiq AI accepts no liability for non-compliance, legal violations, or background check failures.

PGenius integrates automated AI systems and messaging services to facilitate landlord-tenant communication (rent payment alerts, utility tracking, maintenance scheduling). WhatsApp messaging specifically is governed by Section 7 below.

• Owners authorize PGenius to send automated rent reminders, payment receipts, and account notifications by SMS and email, on their behalf, to the contact details their Tenants have provided.
• Owners are responsible for keeping Tenant contact details accurate and current. PGenius is not liable for messages that fail to reach, or reach the wrong person, because of an incorrect number or address supplied by the Owner.
• The AI chatbot provides answers based on user inputs. While we train our models to be accurate, we are not liable for errors in AI replies, maintenance categorizations, or ledger entries. The Owner must review critical rent records.

PGenius sends messages to Tenants over the WhatsApp Business Platform (operated by Meta Platforms, Inc.) on behalf of the Owner. This section describes that use.

• What is sent. Only tenancy-related service messages: rent payment reminders and payment receipts / confirmations. We do not send marketing, promotional, or advertising content over WhatsApp.
• Who sends it. Messages originate from the Owner's PG, using PGenius (Nexformiq AI) as the messaging provider, and are delivered to the phone number the Tenant supplied during onboarding.
• Consent. Each Tenant agrees to receive these WhatsApp messages when accepting the PG's Terms & Conditions at registration. The Terms include the clause: “You agree to receive rent payment reminders and payment receipts from [your PG] on WhatsApp at the phone number you have provided. These are service messages about your tenancy only, not marketing. You can stop them any time by replying STOP on WhatsApp.” A dated snapshot of the exact text each Tenant agreed to is retained. Owners confirm that every number they enter belongs to a Tenant who has accepted these Terms.
• Opting out. A Tenant can stop these messages at any time by replying STOP to any WhatsApp message. Opt-outs are processed automatically and honoured immediately; replying START resumes them. Owners must not re-add, re-import, or otherwise circumvent a Tenant's opt-out.
• Frequency. Messages are limited to what the tenancy requires: typically one rent reminder around the due date and one receipt when a payment is recorded.
• Compliance. This use is subject to the WhatsApp Business Messaging Policy and Meta's Business Terms of Service. PGenius applies send-rate limits and delivery safeguards and does not use WhatsApp for bulk unsolicited messaging.

You agree not to use the Services to:

• Upload Tenant details or document images without their consent.
• Transmit spam, unauthorized promotional texts, or engage in harassing communications.
• Send WhatsApp, SMS, or email messages to individuals who have not accepted the PG's Terms & Conditions, or who have opted out (replied STOP).
• Use PGenius messaging for marketing, promotions, or any content unrelated to an active tenancy.
• Bypass security keys, inject malware, or disrupt API integrations.
• Deploy automated bots, crawlers, or screen scrapers to harvest information.

The PGenius platform, its UX design, logo systems, source code, data logic, text styles, illustrations, and database structures are the exclusive intellectual property of Nexformiq AI. All rights not explicitly granted herein are reserved.

PGenius is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind.

To the maximum extent permitted by law, Nexformiq AI shall not be liable for:

• Rent payment defaults, non-payment, or security deposit disputes between Owners and Tenants.
• Physical damage, safety incidents, thefts, or accidents occurring on the PG or hostel premises.
• Interruption of service, API downtime, database sync delays, or network connectivity failures.

You agree to indemnify, defend, and hold harmless Nexformiq AI, its founders, and employees from any third-party claims, losses, or legal liabilities arising from your breach of these Terms, non-compliance with local laws, or misuse of Tenant data.

These Terms of Service are governed by and construed in accordance with the laws of the Republic of India.

Any legal action, suit, or dispute arising out of or in connection with these Terms, or the use of PGenius, shall be subject to the exclusive jurisdiction of the competent courts in Ahmedabad, Gujarat, India.
